1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Partnearn LLC, a Wyoming limited liability company located at 30 N Gould St Ste R, Sheridan, WY 82801 ("Company," "we," "us," or "our"), governing your access to and use of the Dentora product and related services (collectively, the "Service").

By purchasing, accessing, or using Dentora, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not purchase or use the Service.

2. Product Description

Dentora is a digital product that provides AI-powered social media content generation specifically designed for dental professionals. The product is delivered as a Google Sheets-based tool that enables dentists and dental practices to create social media content for their marketing efforts.

3. Pricing and Payment

The price for Dentora is $297 USD, charged as a one-time payment. There are no recurring fees, subscriptions, or hidden charges associated with this purchase.

• We accept major credit cards, debit cards, and other payment methods supported by Whop
• All prices are listed in United States Dollars (USD)
• You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction
• We reserve the right to change pricing at any time; however, any price change will not affect purchases already completed

4. Digital Delivery

Upon successful payment processing, you will receive instant access to Dentora. Access details and instructions will be delivered to the email address you provide during checkout. Please ensure you provide a valid email address.

5. Refund Policy

6. License and Permitted Use

Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to use Dentora for your personal or business use in accordance with these Terms.

You may:

• Use the tool to generate social media content for your dental practice or business
• Publish content created using Dentora on your social media accounts and marketing channels

You may NOT:

• Resell, redistribute, sublicense, or share your access with third parties
• Copy, modify, reverse engineer, or create derivative works based on the product
• Use the product for any illegal, fraudulent, or unauthorized purpose
• Remove or alter any proprietary notices, labels, or branding from the product
• Use automated systems or bots to access or interact with the product in an unauthorized manner

7. Intellectual Property

Dentora, including its design, templates, prompts, underlying technology, branding, and all associated intellectual property, is and remains the exclusive property of Partnearn LLC. These Terms do not transfer any ownership rights to you.

Content you generate using Dentora for your dental practice is yours to use as permitted under the license granted in Section 6. However, the tool itself, its structure, and its methodology remain our property.

8. Disclaimer of Warranties

Dentora is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee any specific results, outcomes, or revenue from using Dentora. Please see our Disclaimer for more information.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Partnearn LLC, its owners, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Service
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any errors, inaccuracies, or omissions in the content generated by the Service

In no event shall our total aggregate liability exceed the amount you paid for Dentora ($297 USD).

10. Indemnification

You agree to indemnify, defend, and hold harmless Partnearn LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Third-Party Services

Dentora integrates with or relies upon third-party services including Google Sheets and Whop. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services.

12. Account Responsibilities

You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account. You agree to notify us immediately at support@smartmove.my of any unauthorized use of your account or any other breach of security.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms on this page with an updated "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

14. Termination

We may terminate or suspend your access to Dentora immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and Disclaimer, constitute the entire agreement between you and Partnearn LLC regarding the use of Dentora and supersede all prior agreements, representations, and understandings.
